This Acceptable Use Policy ("AUP") governs all use of the VocaIQ platform and related services (collectively, the "Services") provided by 2845341 Ontario Inc. ("we", "us", "our"). This AUP is incorporated by reference into the VocaIQ Terms of Service at /legal/terms-of-service. By accessing or using the Services, you agree to comply with this AUP. Capitalised terms not defined herein have the meanings given in the Terms of Service.
1. Prohibited Content
You may not use the Services to generate, transmit, deliver, or facilitate the delivery of any content that:
- Spam and unsolicited communications: Constitutes unsolicited commercial communications, bulk messaging, or any communication sent without the recipient's valid prior consent where such consent is required by law, including under CASL, the TCPA, or the CAN-SPAM Act.
- Fraud and deception: Is fraudulent, misleading, or deceptive; impersonates any person, entity, government agency, or brand; or misrepresents the identity of the caller or the purpose of the call.
- Harassment: Harasses, threatens, intimidates, abuses, defames, or discriminates against any individual or group based on race, ethnicity, national origin, religion, gender, sexual orientation, disability, or any other protected characteristic.
- Illegal content: Promotes, facilitates, or constitutes any unlawful activity, including soliciting illegal services, distributing controlled substances, or facilitating financial fraud or money laundering.
- Harmful content: Contains malware, phishing links, or other harmful code or content intended to compromise systems, accounts, or personal information.
- Minors: Targets or solicits communications with individuals under the age of majority in their jurisdiction without appropriate parental consent where required.
2. Prohibited Conduct - TCPA, CASL, and Do-Not-Call Compliance
You may not use the Services in any manner that violates applicable telemarketing, telecommunications, or consumer protection laws. Without limiting the foregoing, you are prohibited from:
- Calling without consent: Placing automated or AI-generated calls to consumers without having obtained the required level of prior express written consent (TCPA) or express consent (CASL) where such consent is legally required.
- DNC violations: Contacting any telephone number registered on the U.S. National Do Not Call Registry, Canada's National DNCL, or any applicable state, provincial, or internal do-not-call list, without a recognised exemption or established business relationship.
- Failing to scrub lists: Failing to scrub outbound call lists against applicable Do-Not-Call registries no less frequently than every thirty-one (31) days.
- Caller ID spoofing: Misrepresenting or manipulating caller identification information in violation of the Truth in Caller ID Act, CRTC regulations, or any applicable law. Legitimate business name display is permitted where compliant with applicable law.
- Failure to disclose AI: Failing to disclose at the beginning of any call that the caller is an artificial intelligence agent or automated system, where such disclosure is required by applicable law.
- Failure to disclose recording: Recording calls without providing required notice to all parties in jurisdictions that require all-party consent, or without obtaining required consent.
- Silent calls and abandoned calls: Placing calls that result in silent or abandoned call rates that exceed applicable regulatory thresholds.
- Prohibited times: Placing calls during hours prohibited by applicable federal, state, or provincial telemarketing regulations.
3. Prohibited Industries
The Services may not be used by, or on behalf of, businesses or organisations operating primarily in the following industries or for the following purposes:
- Adult entertainment or sexually explicit content
- Unlicensed firearms, ammunition, or weapons dealing
- Illegal gambling operations
- Cryptocurrency investment schemes, unregistered securities offerings, or financial fraud
- Multi-level marketing or pyramid schemes operating in violation of applicable law
- Debt collection practices that violate applicable consumer protection law (including the Fair Debt Collection Practices Act or FDCPA)
- Political robocalling or mass political solicitation in violation of applicable election or campaign finance law
- Operations designated as terrorist organisations or sanctioned entities by applicable government authority
- Any industry or activity prohibited by applicable law in the jurisdiction of Ontario, Canada

4. Prohibited Technical Acts
You may not, and may not permit any third party to:
- Reverse engineering: Reverse engineer, decompile, disassemble, or otherwise attempt to derive source code, algorithms, or underlying models from any part of the Services.
- Scraping and data extraction: Use automated means to extract, copy, or systematically download data from the Services, including call transcripts, AI model outputs, or platform data, beyond what is made available through our documented APIs.
- Model exfiltration: Probe, query, or systematically interact with the Services in order to extract or reconstruct the underlying AI models, voice models, or platform algorithms.
- Competing model training: Use AI-generated outputs, voices, or content produced by the Services to train, fine-tune, improve, or develop machine learning models or services that compete with VocaIQ.
- Exceeding authorised access: Access or attempt to access any system, account, database, or API endpoint beyond what is expressly authorised under your subscription plan.
- Circumventing controls: Circumvent, disable, or otherwise interfere with security features, usage limits, rate limits, access controls, or content filters.
- Infrastructure abuse: Upload or transmit any material that contains viruses, worms, Trojan horses, or other malicious or harmful code; or engage in denial-of-service attacks, load testing without prior approval, or any action that degrades the Services for other customers.
- Reselling without authorisation: Resell, sublicense, or otherwise provide access to the Services to third parties except as expressly authorised in writing by 2845341 Ontario Inc..
5. High-Risk Use Prohibition
HIGH-RISK USE PROHIBITION.
The Services are not designed, certified, or intended for use in connection with medical diagnosis, emergency response, aviation, nuclear operations, financial advice, legal advice, or other inherently dangerous or safety-critical applications. You must not use the Services in any context where a failure or error in the AI output could reasonably be expected to result in death, personal injury, or significant property damage. 2845341 Ontario Inc. disclaims all liability for any use of the Services in such contexts. AI-generated outputs must not be relied upon as a substitute for professional advice of any kind, including but not limited to legal, medical, financial, or emergency services advice.
6. Enforcement
6.1 Monitoring
2845341 Ontario Inc. reserves the right (but not the obligation) to monitor usage of the Services to ensure compliance with this AUP. We may review usage patterns, call metadata, and customer configurations where we have reasonable grounds to suspect a violation.
6.2 Suspension and Termination
We may, in our sole discretion and without prior notice, take any of the following actions in response to a violation or suspected violation of this AUP:
- Issue a warning;
- Temporarily suspend access to the Services;
- Permanently terminate your account and access to the Services;
- Report unlawful activity to applicable law enforcement or regulatory authorities;
- Seek injunctive or other equitable relief.
Termination for violation of this AUP will be treated as termination for cause under the Terms of Service. No refunds will be issued for any prepaid subscription fees where the account is terminated due to an AUP violation.
6.3 No Limitation of Remedies
Our exercise of any remedy under this AUP does not limit our right to pursue any other remedy available under the Terms of Service, this AUP, or applicable law, including claims for damages and indemnification.
7. Reporting Abuse
If you become aware of any use of the Services that violates this AUP, or if you receive unsolicited or improper communications that appear to have been generated using VocaIQ, please report it to us promptly:

Please include as much detail as possible: the nature of the violation, the date and time, any relevant phone numbers, call transcripts, or identifiers, and the potential harm involved. We investigate all credible reports and will acknowledge receipt within two business days.

Dispute Resolution
Disputes arising under this Acceptable Use Policy are subject to the binding arbitration agreement, class action waiver, and governing law provisions set forth in Section 15 of the VocaIQ Terms of Service, which are incorporated by reference.
