These Terms of Service ("Terms") govern your access to and use of the VocaIQ platform, including our AI voice agent software, website, and related services (collectively, the "Service"). By creating an account or using the Service, you agree to be bound by these Terms.
1. Eligibility
You must be at least 18 years old and a legal entity or individual with the authority to enter into contracts to use the Service. By using VocaIQ, you represent that you meet these requirements.
2. Accounts and Registration
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately at hello@vocaiq.ai if you suspect any unauthorised access. We reserve the right to suspend or terminate accounts that violate these Terms.
3. Subscriptions and Billing
- Plans: VocaIQ offers three subscription tiers: AI Receptionist ($297/mo), AI Sales Agent ($497/mo), and AI Operations Suite ($997/mo), each with included minutes as described on our pricing page.
- Billing cycle: Subscriptions are billed monthly in advance on the date you started your paid plan.
- Overage: Minutes consumed beyond your plan's included allocation are billed at the overage rate shown for your plan.
- Free trial: New accounts may be eligible for a 7-day free trial. No charge is made until the trial period ends. You may cancel before the trial ends without any charge.
- Cancellation: You may cancel your subscription at any time through your account dashboard. Cancellation takes effect at the end of your current billing period. We do not provide refunds for partial months.
- Price changes: We will provide at least 30 days' notice before changing subscription prices. Continued use after the notice period constitutes acceptance of the new pricing.
4. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law or regulation, including telemarketing and do-not-call laws
- Impersonate any person or entity, or misrepresent your affiliation
- Transmit spam, unsolicited communications, or harassing content
- Interfere with or disrupt the integrity or performance of the Service
- Attempt to gain unauthorised access to any part of the Service or its systems
- Use the Service for any unlawful purpose or to facilitate illegal activities
We reserve the right to suspend or terminate your access immediately if we determine you have violated this section.
5. AI Voice Agents and Call Compliance
You are solely responsible for ensuring that your use of VocaIQ's AI voice agents complies with all applicable laws, including but not limited to:
- Canada's Anti-Spam Legislation (CASL)
- The Telephone Consumer Protection Act (TCPA) if operating in the United States
- Provincial and state telemarketing regulations
- Call recording consent laws in your jurisdiction
You must obtain all required consents before initiating outbound calls or recording conversations. VocaIQ is not responsible for your compliance obligations.
6. Intellectual Property
The Service and all content, technology, and code within it are owned by Vermilion Carousel Inc. and are protected by copyright, trademark, and other intellectual property laws. You may not copy, reproduce, distribute, or create derivative works of any part of the Service without our prior written consent.
You retain ownership of your data, including call recordings and transcripts generated through your use of the Service. You grant us a limited licence to process this data to provide and improve the Service.
7. Confidentiality and Data
We will handle your data in accordance with our Privacy Policy (vocaiq.ai/privacy), which is incorporated into these Terms by reference. You are responsible for maintaining appropriate data security practices within your own organisation.
8. Limitation of Liability
To the maximum extent permitted by applicable law, VocaIQ and Vermilion Carousel Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of or inability to use the Service.
Our total aggregate liability to you for any claims arising from these Terms or the Service shall not exceed the amounts paid by you to us in the three months preceding the claim.
9. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or meet your specific requirements.
10. Indemnification
You agree to indemnify, defend, and hold harmless Vermilion Carousel Inc. and its officers, directors, employees, and agents from any claims, liabilities, damages, and costs (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third party's rights.
11. Termination
Either party may terminate these Terms at any time. We may suspend or terminate your access immediately if you breach these Terms. Upon termination, your right to use the Service ceases and we may delete your data after a 30-day grace period, unless we are required to retain it by law.
12. Governing Law and Disputes
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes shall be resolved by binding arbitration administered by the ADR Institute of Canada, with proceedings conducted in English in Toronto, Ontario, unless both parties agree otherwise.
13. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by email or website notice at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance.
